These Terms & Conditions ("Terms") govern your access to and use of the PanPal mobile application and related services (collectively, the "Service"), provided by PanPal ("PanPal", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

PanPal is available to users of all ages. If you are a minor, you should use the Service with the involvement of a parent or guardian.

By using PanPal, you represent and warrant that:

• the information you provide is accurate and current; and
• you are legally permitted to use the Service.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us promptly if you believe your account has been accessed without authorization or if you suspect any security breach.

You may stop using the Service or delete your account at any time. Certain information may be retained as required by law or for legitimate business purposes.

3. Subscriptions, Free Tier & Purchases

PanPal includes a limited free allowance of credits for AI-powered actions (such as generating recipes and meal ideas); different actions use different amounts of credits. When your free credits are used up, AI features are unavailable until your allowance renews or you subscribe to PanPal Pro. Unused credits do not carry over. We may adjust the size and scope of the free allowance at any time.

PanPal Pro is an optional auto-renewable subscription, available on a monthly or yearly basis, that unlocks expanded use of the Service. Pricing is shown in the app before you purchase.

Billing

Subscriptions are purchased through, and billed by, the Apple App Store or Google Play ("App Stores"), depending on your device. Payment is charged to your App Store account at confirmation of purchase. We do not collect or store your payment card details.

Automatic renewal & cancellation

• Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the current period ends.
• You can manage or cancel your subscription at any time in your App Store account settings (App Store: Settings → Apple ID → Subscriptions; Google Play: Menu → Payments & subscriptions).
• Deleting the app or your PanPal account does not cancel your subscription — you must cancel through the App Store.
• After cancellation, you keep access to Pro features until the end of the period you have already paid for.

Price changes

We may change subscription prices from time to time. Price changes apply to subsequent billing periods, and the App Stores will notify you and, where required, ask for your consent before a change takes effect.

Refunds

Purchases are processed by the App Stores, and refunds are governed by their policies. To request a refund, contact Apple or Google through your App Store account. To the extent permitted by law, amounts already paid are non-refundable and we do not provide refunds for partial billing periods or unused credits.

4. AI-Generated Content, Nutrition & Food Safety

PanPal uses artificial intelligence to generate recipes, ingredient substitutions, cooking suggestions, and nutrition estimates.

This information is provided for general informational purposes only and may be inaccurate, incomplete, or outdated.

PanPal is not a medical, healthcare, nutrition, or dietetic service. Nothing provided through the Service constitutes medical advice, diagnosis, or treatment.

You are solely responsible for:

• verifying ingredients and measurements;
• checking for allergens, intolerances, and dietary restrictions;
• confirming cooking temperatures and food safety practices; and
• determining whether recipes are appropriate for you or anyone consuming the food.

Nutrition information is an estimate only and should not be relied upon as professional dietary advice.

Always exercise your own judgment and consult a qualified healthcare professional regarding any medical, dietary, or nutritional concerns.

5. Your Content

You may submit content to the Service, including preferences, notes, reviews, photos, and other information ("Your Content").

You retain ownership of Your Content.

By submitting Your Content, you grant us a limited, non-exclusive, worldwide license to store, process, display, and use Your Content solely for the purpose of operating, maintaining, improving, and providing the Service.

You are responsible for Your Content and represent that you have all necessary rights to share it.

6. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose;
• attempt to disrupt, damage, or interfere with the Service;
• reverse-engineer, decompile, or attempt to gain unauthorized access to any part of the Service;
• upload content that is illegal, harmful, fraudulent, defamatory, or infringes the rights of others; or
• misuse AI features to generate harmful, unsafe, or abusive content.

7. Intellectual Property

The Service, including its software, designs, branding, PanPal mascot and companion features, text, graphics, and other materials, is owned by PanPal or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you ownership of or rights to our trademarks, branding, or intellectual property.

8. Third-Party Services

The Service may rely on third-party providers, technologies, and platforms to operate.

We are not responsible for the availability, functionality, content, or practices of any third-party services.

Your use of third-party services may also be subject to their own terms and policies.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

• the Service will always be available, secure, or error-free;
• AI-generated content will be accurate, complete, or suitable for your needs; or
• any recipes, substitutions, or nutrition estimates will produce expected results.

10. Limitation of Liability

To the fullest extent permitted by law, PanPal, its owners, employees, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

We are not liable for any loss, injury, or damage arising from:

• your use of or inability to use the Service;
• reliance on AI-generated content;
• food preparation, ingredient selection, or consumption decisions; or
• interruptions, errors, or unavailability of the Service.

11. Service Availability

We may modify, suspend, discontinue, or remove features of the Service at any time, with or without notice.

We are not liable for any loss resulting from changes to or unavailability of the Service.

12. Termination

You may stop using the Service at any time.

We reserve the right to suspend or terminate access to the Service if you violate these Terms or if necessary to protect the Service, other users, or our operations.

13. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the "Last updated" date and may provide additional notice where required.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.
